Case Brief Assignment | Buy assignments online persuasive essay help

Please analyze the following case:

Basic, Inc. was a publicly traded company. Combustion Engineering, Inc. and Basic began discussions concerning the possibility of a merger of the two companies. During the next two years, Basic made three public statements denying that it was engaged in merger negotiations. In December of the second year, Basic publicly announced its approval of Combustion’s offer for all its outstanding shares. Former owners of Basic stock who sold their shares after Basic publicly denied that it was engaged in merger negotiations brought a class action suit against Basic and its directors for having released false or misleading information in violation of Section 10(b) of the 1934 Act and Rule 10b–5. The plaintiffs claimed that they were injured by selling their shares at prices that were artificially depressed as a consequence of Basic’s misleading public statements. The defendants claimed that the plaintiffs had not proven that the plaintiffs had, in fact, relied upon the misleading statements in selling their stock.

What are the arguments that the plaintiffs have satisfied the reliance requirement of Section 10(b) of the 1934 Act and Rule 10b–5?

How to Brief a Case Using the “IRAC” Method

When briefing a case, your goal is to reduce the information from the case into a formatthat will provide you with a helpful reference in class and for review. Most importantly,by “briefing” a case, you will grasp the problem the court faced (the issue); the relevantlaw the court used to solve it (the rule); how the court applied the rule to the facts (theapplication or “analysis”); and the outcome (the conclusion). You will then be ready tonot only discuss the case, but to compare and contrast it to other cases involving a similarissue.

Before attempting to “brief” a case, read the case at least once.

Follow the “IRAC” method in briefing cases:

Write a brief summary of the facts as the court found them to be. Eliminate facts that arenot relevant to the court’s analysis. For example, a business’s street address is probablynot relevant to the court’s decision of the issue of whether the business that sold adefective product is liable for the resulting injuries to the plaintiff. However, suppose acustomer who was assaulted as she left its store is suing the business. The customerclaims that her injuries were the reasonably foreseeable result of the business’s failure toprovide security patrols. If the business is located in an upscale neighborhood, thenperhaps it could argue that its failure to provide security patrols is reasonable. If thebusiness is located in a crime-ridden area, then perhaps the customer is right. Instead ofincluding the street address in the case brief, you may want to simply describe the type ofneighborhood in which it is located. (Note: the time of day would be another relevantfactor in this case, among others).

What is the question presented to the court? Usually, only one issue will be discussed, butsometimes there will be more. What are the parties fighting about, and what are theyasking the court to decide? For example, in the case of the assaulted customer, the issuefor a trial court to decide might be whether the business had a duty to the customer toprovide security patrols. The answer to the question will help to ultimately determinewhether the business is liable for negligently failing to provide security patrols: whetherthe defendant owed plaintiff a duty of care, and what that duty of care is, are key issues innegligence claims.

Determine what the relevant rules of law are that the court uses to make its decision. These rules will be identified and discussed by the court. For example, in the case of theassaulted customer, the relevant rule of law is that a property owner’s duty to preventharm to invitees is determined by balancing the foreseeability of the harm against theburden of preventive measures. There may be more than one relevant rule of law to acase: for example, in a negligence case in which the defendant argues that the plaintiffassumed the risk of harm, the relevant rules of law could be the elements of negligence, and the definition of “assumption of risk” as a defense. Don’t just simply list the cause ofaction, such as “negligence” as a rule of law: What rule must the court apply to the factsto determine the outcome?

This may be the most important portion of the brief. The court will have examined thefacts in light of the rule, and probably considered all “sides” and arguments presented toit. How courts apply the rule to the facts and analyze the case must be understood in orderto properly predict outcomes in future cases involving the same issue. What does thecourt consider to be a relevant fact given the rule of law? How does the court interpret therule: for example, does the court consider monetary costs of providing security patrols inweighing the burden of preventive measures? Does the court imply that if a business is ina dangerous area, then it should be willing to bear a higher cost for security? Resist thetemptation to merely repeat what the court said in analyzing the facts: what does it meanto you? Summarize the court’s rationale in your own words. If you encounter a word thatyou do not know, use a dictionary to find its meaning.

What was the final outcome of the case? In one or two sentences, state the court’sultimate finding. For example, the business did not owe the assaulted customer a duty toprovide security patrols.*

*If you did research and found the underlying case, then you should cite the case in the analysis or conclusion section.

Discussion Post Assignment | Buy assignments online persuasive essay help

Context: In the past two weeks you have covered a lot of materials, including innovation, change, diversity, and motivating employees. You’ve applied these concepts to your chosen company in the Week 4 discussion and in this week’s discussion, looking at the changes occurring in your company and at how your company rewards their employees. In this milestone you’ll build on your discussion prompt research and dive even further into employee motivation concepts.

Requirements: Review the research you and your classmates did in the Week 4 discussion relevant to change and in this week’s discussion relevant to motivating employees. Look for patterns and connecting concepts. For example, during a period of change, what was most motivating for employees? Finally, construct a plan that you feel would most effectively motivate the human capital in the company you have been researching for your final project.

Your third milestone submission should address the following requirements:

1.  Explain whether you will or will not implement a formal performance evaluation process and defend why or why not.

2.  Describe reward system you will use to motivate your employees, in detail, and why you have included each element (base pay, commission, bonus, stocks, benefits, holiday, vacation, etc. (the list is endless, so be creative!).

3.  Describe your approach to rolling out and managing the change process required to transition from the current reward system to your new system.

a.  What strategies will you use to manage the change?

b.  Will you be transparent in your communication or does some compensation information remain confidential?

c.  What are the most likely roadblock or resistance to change and how will you plan proactively for success?

Your third milestone submission should follow APA format, be well supported with a minimum of five recent sources, and be a minimum of five pages long.

Remember: The goal is to demonstrate critical thinking and application of concepts as well as how they interact. Key to this assignment is human behavior and how people respond to reward, motivation, and change. Be specific in your responses and defend why you chose the approach you did. It’s easy to create a list of rewards, but more challenging to really defend why they are most appropriate and how you will manage the change effectively.
